1. Acceptance and Scope of Agreement

1. Parties and Platform: These Terms and Conditions (“Terms”) constitute a legally binding agreement between Manpost Pty Ltd (“the Company”, “Specair”, “we”, “us”, or “our”) and any visitor, user, customer, or prospective purchaser (“Customer”, “you”, or “your”) accessing the website located at specair.com.au (the “Website”) or engaging us for the supply, installation, replacement, repair, or servicing of heating, ventilation, and air conditioning (“HVAC”) equipment. 2. Acceptance: By browsing our Website, using our online quoting tool, submitting an inquiry, accepting a written quotation, or paying a deposit, you agree to be bound by these Terms and our Privacy Policy. 3. Hierarchy of Documents: If you enter into a separate formal domestic building contract, commercial installation contract, or signed quotation with us, the express terms of that executed agreement will prevail to the extent of any direct inconsistency with these general terms.

2. Services, Products, and Online Quoting Tools

1. Scope of Services: Specair provides residential and commercial climate control solutions across Victoria, including the supply, design, installation, maintenance, changeover, and repair of ducted refrigerated reverse cycle systems, split and multi-head split systems, evaporative cooling units, ducted gas heaters, hydronic heating, and gas log fire systems. 2. Online Quoting Tool & Estimations: – Any pricing, sizing calculations, or indicative estimates generated via our Website’s online quoting tools or calculators are strictly indicative and non-binding. – HVAC performance depends on structural and environmental variables (including ceiling height, insulation levels, window orientation, glazing type, and roof cavity access). A binding contract only forms upon an on-site technical inspection (or detailed review of final architectural plans) followed by a formal written quotation executed by both parties. 3. Stock and Availability: Mention of lead times or installation timeframes (e.g., standard turnaround targets) on the Website are subject to manufacturer supply chains, warehouse stock availability, seasonal demand peaks, and scheduled trade availability.

3. Quotations, Price Beat Guarantee, and Variations

1. Quotations: Formal written quotations remain valid for thirty (30) days from the date of issue unless stated otherwise in writing. We reserve the right to withdraw or adjust a quote prior to formal acceptance if supplier component costs or raw material prices change significantly. 2. Price Beat Guarantee Terms: Where Specair offers to beat a competitor’s quote: – The competitor’s quote must be genuine, written, dated within the preceding thirty (30) days, and submitted prior to order placement. – The quote must be strictly like-for-like, matching the exact manufacturer brand, model number, cooling/heating kilowatt (kW) capacity, star rating, warranty period, zoning configuration, and inclusion of identical licensed trade services (electrical, plumbing, and refrigeration). – The competitor must be an Australian-registered business operating within the same Victorian metropolitan or regional service zone, holding appropriate Victorian Building Authority (VBA) and Australian Refrigeration Council (ARCTick) licenses. – Specair reserves the right to verify the quote and excludes stock clearances, auction sales, liquidation sales, written errors, or sub-standard non-compliant installations. 3. Variations and Hidden Site Conditions: Quotations are based on normal working conditions and unobstructed access. Additional charges will apply if unforeseen structural or site complexities are identified during installation, including: – Inadequate existing electrical switchboards, mains capacity, sub-boards, or consumer mains requiring upgrades to meet AS/NZS 3000 wiring standards; – Degraded, non-compliant, crushed, or undersized existing ductwork or gas pipework; – Presence of hazardous materials (such as asbestos or friable insulation); – Inaccessible crawl spaces, structural wall framing obstacles, high double-storey roof access requiring scissor lifts or safety scaffolding. Any variation will be documented and agreed upon in writing prior to commencing the additional work, subject to statutory emergency requirements.

4. Government Rebates and Energy Incentives

1. Rebate Assignment: Certain energy-efficient HVAC upgrades may qualify for Victorian or Federal incentives (e.g., Victorian Energy Upgrades (VEU), Solar Victoria rebates, or Small-scale Technology Certificates (STCs)). 2. Eligibility and Documentation: Eligibility criteria are set strictly by the respective government bodies. The Customer is responsible for ensuring their property and household meet the statutory criteria. You agree to sign all necessary assignment forms, decommissioning declarations, and compliance certificates promptly. 3. Clawback / Customer Liability: Where a quotation reflects a price net of an anticipated rebate or subsidy, and the rebate is subsequently rejected, withheld, or clawed back by the administrator due to Customer ineligibility, prior claim exhaustion, failure to provide requisite paperwork, or false declarations, the Customer remains strictly liable to pay Specair the full un-discounted contract price immediately upon invoice.

5. Customer Obligations and Site Access

1. Access: You must provide safe, unhindered, and reasonable access to the property, including power, water, driveways, ceilings, roofs, and subfloors during agreed working hours. 2. Site Safety & Hazardous Substances: – Customers must disclose known safety hazards prior to arrival, including damaged asbestos flue pipes, faulty wiring, or structural weaknesses. – Specair technicians reserve the statutory right to cease work immediately if a site presents an imminent health or safety risk (Occupational Health and Safety Act 2004 (Vic)). Costs associated with required asbestos abatement or licensed third-party testing remain the Customer’s responsibility. 3. Permits and Authorisations: The Customer warrants that they are the registered owner of the premises or have obtained full written authorization from the landlord, body corporate, or owners corporation to carry out external and structural HVAC modifications (including condenser bracket mounting, penetration of external walls, and roof penetrations).

6. Compliance, Licensing, and Trade Standards

1. Licensed Trades: All works are completed by fully licensed tradespeople adhering to Victorian regulatory standards, holding appropriate: – Victorian Building Authority (VBA) plumbing, gasfitting, and mechanical services licenses; – Australian Refrigeration Council (ARCTick) refrigerant handling certifications; – Registered Electrical Contractor (REC) standards for all fixed-wire electrical connections. 2. Compliance Certificates: Where required by Victorian law (such as plumbing works exceeding statutory monetary thresholds or involving gas/refrigeration lines), Specair will lodge and issue a VBA Compliance Certificate and/or a Certificate of Electrical Safety (COES) upon project completion and receipt of final payment.

7. Payment Terms, Title, and Risk

1. Payment Milestones: Unless otherwise agreed in a separate credit agreement: – A deposit (typically 10% for residential domestic installations, subject to the Domestic Building Contracts Act 1995 (Vic) where applicable) is payable upon order confirmation. – Progress payments, if specified, must be paid at designated delivery/rough-in milestones. – The final balance is due and payable strictly on the day of commissioning/practical completion. 2. Retention of Title (PPSA): – Legal and beneficial ownership of all HVAC units, ducting, materials, and accessories remains with Manpost Pty Ltd until the invoice is paid in full. – Risk of loss or damage to equipment transfers to the Customer immediately upon physical delivery to the installation address. – If payment defaults, Specair reserves the right (subject to statutory laws and reasonable notice) to enter the premises to inspect, disconnect, and repossess unpaid equipment pursuant to the Personal Property Securities Act 2009 (Cth). 3. Manufacturer Warranties: Brand units (e.g., Samsung, Daikin, Panasonic, Brivis, Bonaire, etc.) come with separate manufacturer warranties (typically 5 to 7 years on parts and compressor). Warranty terms, annual servicing conditions, and claim procedures are governed directly by the manufacturer’s warranty card supplied with the unit. 3. Installation & Workmanship Warranty: Specair provides a limited installation warranty covering our physical workmanship and pipework/ducting integrity for a period of [Client should insert warranty period, e.g., 6 years / statutory building defect duration] from the date of commissioning. 4. 9. Cancellation and Rescheduling

1. Customer Cancellations: Custom-ordered systems, specialized ducting runs, or non-standard HVAC configurations canceled after order placement may incur a restocking fee covering direct costs incurred with equipment distributors. 2. Unsolicited Consumer Agreements: If your agreement was entered into following an unsolicited in-home sales call or negotiation away from our physical showrooms, you may be entitled to a statutory ten (10) business day cooling-off period under the ACL. 3. Weather Delays & Force Majeure: Outdoor roof work, refrigeration line brazing, and electrical connections cannot safely be performed during heavy rain, high winds, or extreme heatwaves.
